By purchasing any service, you confirm and warrant that:

- Rankings, traffic, conversions, and revenue cannot be guaranteed
- Search engine algorithms may change without notice
Holarae Ltd makes no guarantees, representations, or warranties regarding outcomes, performance, or commercial success.

6. Payments, Pricing & VAT
- All prices are shown exclusive of VAT unless stated otherwise.
- VAT will be added at the prevailing UK rate where applicable.
- International clients are responsible for any local taxes, duties, or withholding taxes.
- Where reverse-charge VAT applies, you confirm that you are VAT-registered and have provided valid VAT details.
Payments are processed securely via Stripe and PayPal.
Failure of payment may result in immediate suspension of services.
7. Subscription Services (AUTO-RENEWING)
This section applies to all recurring services.

7.1 Billing & Renewal
- Subscriptions are billed in advance
- Subscriptions automatically renew unless cancelled
- You authorise recurring charges to your selected payment method
7.2 Cancellation
- You may cancel at any time before the next billing date
- Cancellation prevents future charges only
- Services remain active until the end of the paid billing period
7.3 No Refunds / No Proration
- Subscription fees are non-refundable
- No prorated refunds are issued for unused time
- Lack of usage, results, or communication does not constitute grounds for refund
8. One-Off Services
- One-off services commence once payment and required information are received
- Delivery timelines are estimates only
- Once work has commenced, all fees are non-refundable
9. Refund Policy
Due to the digital, bespoke, and immediately-delivered nature of SEO services:
- No refunds are provided once work has commenced
- No refunds are provided for:
- Dissatisfaction with results
- Algorithm changes
- Delays caused by the client
- Change of mind
By purchasing, you expressly:
- Request immediate service delivery, and
- Waive any statutory cooling-off rights where legally permitted
Holarae Ltd provides digital SEO and marketing services that are bespoke and commence immediately upon purchase.
By purchasing our services, you expressly agree that:
- Work begins immediately after payment (or shortly thereafter)
- No refunds are available once work has commenced
- This applies to both one-off services and subscriptions
No refunds will be provided for:
- Dissatisfaction with results
- Changes in search engine algorithms
- Delays caused by the client
- Failure to use the service
- Change of mind
Subscriptions are billed in advance and are non-refundable, including for partially used billing periods.
Nothing in this policy affects statutory rights where they apply; however, Holarae Ltd operates primarily on a business-to-business basis, and consumer cancellation rights are excluded to the fullest extent permitted by law.

10. Client Responsibilities
You confirm that:
- You own or control the website and assets provided
- You have authority to grant access to required platforms
- All information provided is accurate and lawful
Delays caused by missing access, approvals, or information are not the responsibility of Holarae Ltd.
11. Intellectual Property
- Holarae Ltd retains ownership of all proprietary systems, tools, methodologies, and templates
- Upon full payment, you receive a non-exclusive, non-transferable licence to use deliverables created specifically for you
- You may not resell, redistribute, or white-label our work without written permission
12. International Clients
Holarae Ltd operates from the United Kingdom and serves clients globally.
By using our services, you agree that:
- All services are deemed supplied from the UK
- UK law governs the contract regardless of your location
- You are responsible for compliance with local laws in your jurisdiction
13. Limitation of Liability
To the fullest extent permitted by law:
- Holarae Ltd shall not be liable for indirect, consequential, or economic loss
- Loss of profits, revenue, data, or business opportunity is excluded
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
Nothing limits liability for fraud or death/personal injury caused by negligence.
14. Termination
We may suspend or terminate services immediately if:
- These Terms are breached
- Payments fail or are reversed
- Continued provision presents legal or reputational risk
15. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
